Terms of Service

Please read these Terms of Service carefully before using Easica. They form a binding legal agreement between you and Easica regarding your use of our platform and services.

1. Acceptance of Terms

By accessing or using any Easica service, website, or software ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Easica provides a cloud-based Computerized Maintenance Management System (CMMS) platform that enables organizations to manage work orders, assets, preventive maintenance schedules, inventory, and maintenance reporting. The Service is provided on a subscription basis and may include web, mobile, and API access depending on your plan.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for: • Maintaining the confidentiality of your login credentials. • All activity that occurs under your account. • Notifying us immediately at contact@easica.com if you suspect unauthorized access. You must be at least 18 years old to create an account. We reserve the right to refuse registration or cancel accounts at our discretion.

4. Subscription and Payment

The Service is offered on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis depending on the plan you choose. • All fees are non-refundable except as expressly stated in these Terms or required by law. • You authorize us to charge your payment method for all fees incurred. • If payment fails, we may suspend or terminate your account after providing notice. • Prices may change with 30 days' advance notice. Continued use after a price change constitutes acceptance.

5. Free Trial

We may offer a free trial period. At the end of the trial, your account will either be automatically converted to a paid subscription (if you provided payment information) or access will be restricted. We reserve the right to modify or discontinue free trials at any time.

6. Acceptable Use

You agree not to use the Service to: • Violate any applicable laws or regulations. • Infringe the intellectual property rights of any third party. • Transmit malicious code, viruses, or disruptive data. • Attempt to gain unauthorized access to any part of the Service or its infrastructure. • Scrape, crawl, or extract data from the Service in an automated manner without our written permission. • Resell, sublicense, or white-label the Service without written authorization from Easica.

7. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Easica and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service. Your data remains yours. You grant Easica a limited license to host, store, and process your data solely for the purpose of providing the Service. We will not access your data except to provide the Service or as required by law.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. You are responsible for ensuring that any personal data you upload to the Service was collected lawfully and that you have the right to provide it to us for processing.

9. Service Availability

We aim to maintain 99.9% uptime for the Service, excluding scheduled maintenance windows. We will provide advance notice of planned downtime where possible. Easica is not liable for any losses resulting from interruptions outside our reasonable control, including internet outages, force majeure events, or third-party service failures.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Easica and its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business — arising out of or related to your use of the Service. Our total liability for any claim arising under these Terms shall not exceed the total fees you paid to Easica in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or uninterrupted.

12. Termination

Either party may terminate these Terms at any time. You may cancel your subscription by following the instructions in your account settings. We may suspend or terminate your access if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days after termination, during which you may request an export. After 90 days, your data will be permanently deleted.

13. Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates (Dubai International Financial Centre jurisdiction), without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Dubai, UAE.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 14 days in advance via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
